CONSTITUTION

 

The Organisation

 

  • The name of the organisation will be Thame Good Neighbour Scheme.

 

Aims

 

  • To encourage a strong community spirit with a clear sense of belonging and inclusion for those in Thame

  • To work with local people to identify and address the needs of the community particularly the elderly, less able and those who feel isolated

  • To provide short-term assistance to those in Thame including transport, domestic support and household assistance

  • To promote self-help, friendship and neighbourliness in the local community

 

Membership

 

  • Membership shall comprise of all registered volunteers and members of the Management Committee.

  • Membership shall be open to those living or working either in a paid or voluntary role within the jurisdiction of Thame Town Council aged 18 or above.

  • All members will be subject to the regulations of the Constitution and by joining the scheme will be deemed to accept these regulations and codes of practice that the scheme has adopted.

 

Management Committee

 

  • The organisation shall be managed by a Management Committee who is appointed at the Annual General Meeting (AGM) of the organisation.

  • The Management Committee will consist of a Chair, Secretary, Council representative and 3 other nominated members.

 

Meetings

 

  • Meetings will be held on a regular basis and will be well publicised and open to the whole community.

  • Minutes of the meetings will be taken and made available to all members of the scheme and the whole community.

  • A quorum will be any 3 regular members of the Management Committee.

 

Annual General Meeting (AGM)

 

  • A minimum of 14 days notice will be given to all members of the AGM.

  • There shall be an AGM held every October, at which the Management Committee shall report on its work, present a statement of accounts, and resign.

  • Members shall elect up to 6 members to serve for the next year. They will retire at the next AGM but may stand for re-election.

  • No AGM shall take place if less than 50% of the Management Committee is present.

 

Extraordinary General Meeting (EGM)

 

  • The Management Committee shall have the power to call an EGM by giving notice in writing to the membership at least 14 days in advance of such a meeting.

  • A member can demand an EGM provided notice is given in writing to the secretary at least 21 days before the date of the proposed meeting and is seconded in writing by at least on third of the membership.

 

Voting

 

  • Any member may make a proposal, which must be seconded or supported by another member.

  • Only present members may vote.

  • No member may exercise more than one vote.

  • Should it be an equal vote the chair shall have the casting vote.

 

 

Changes to the Constitution

 

  • Changes to the Constitution may be proposed on application to the Management Committee and should be ratified at an open meeting where no less than 4 members of the Management Committee are present.

 

Finance

 

  • All money raised by or on behalf of the scheme is to be used only to further the aims of the scheme

  • The Town Council will:

    • Create a budget code for all Thame Good Neighbour Scheme transactions.

    • Keep accurate records of transactions and provide such records for annual audit as required.

    • Make financial accounts available to the community in public places annually.

  • Grants may be applied for as necessary.

 

Dissolution

 

  • The scheme will be dissolved with the agreement of a majority of the Management Committee following an application by at least one third of members at an open meeting, attended by a quorum of the Management Committee and open to all members of the community.

  • On dissolution any outstanding funds shall be returned to the funders from whence they came or, if these cannot be identified, used for charitable work within the community, following discussion with Thame Town Council.
